TERMS AND CONDITIONS


1.0 Acceptance

1.1 These Rules and Terms of Service comprises the complete Agreement and Contract between you ("user") and www.theaxeeffect.co.in (Axe) in relation to the service/s provided by Axe at its website http://www.theaxeeffect.co.in ("The Site") and supersedes all previous agreements, contracts and communications (oral or written) in this behalf. By playing the game you bind yourselves to the provisions of these Terms & conditions of service.


2.0 Definitions

2.1 Axe means the company, corporation, firm, individual or association of persons currently administering, providing content for, maintaining and otherwise managing the Site and every employee of Axe (HUL) and its advertising agent or agents for the time being and their employees, and every consultant, advisor and associate of Axe and their respective employees.

2.2 "Contest" means any contest, promotion, sweepstakes, lucky draw, or any other scheme by whatever name called involving an element of chance with or without an accompanying test of any skill, aptitude or talent.

2.3 "Contract", "Agreement" and "Terms of Service" refer to the terms and conditions herein set forth.

2.4 "Employee" means every person working in any capacity for Axe (HUL) as defined herein and includes every member of his family and every person residing in his household as a member of his family.

2.5 "Hosting", with all its grammatical variations, means and includes the provision of Services by Axe at the site and subject always to the provisions of the Contract.

2.8 "Personal Information" means all information about the user provided to Axe via on-line forms at the site or by any other means of communication, whether electronic, oral or written.

2.9 "Site" with all its grammatical variations refers to the web site hosted on the Internet/World Wide Web with the address of http://www.theaxeeffect.co.in such other address as may periodically be assigned to or adopted by Axe.

2.10 "Services" means Axe offers the user, on an "as-is" and "when available" basis, the opportunity to participate in all contests, promotions, games scheme hosted for the time being on the Site by Axe on behalf of one or more contest providers.

2.11 "Winning" with all its grammatical variations means and includes any prize, cash, gift, exchange coupon or certificate and every other item of like nature that is or may be offered by the Contest Provider as the final result of any Contest hosted by Axe; and "winner" means a User who is entitled as the result of any Contest to receive a winning.


3.0 Interpretation

3.1 Words conveying the singular shall, where required or appropriate be deemed to mean and include the plural. Words conveying the feminine gender shall be deemed to mean and include the masculine gender.


4.0 In consideration for this Service, the User hereby:

4.1 agrees to provide Axe such current, complete, and accurate information about the User ("Personal Information") as may be required by Axe via the Site or on the phone.

4.2 Agrees, maintains and updates this information as required to keep it current, complete and accurate.

4.3 agrees and undertakes to maintain the absolute confidentiality of his Id and not to disclose the same to any other person or entity whatsoever at any time under any circumstances and further agrees and undertakes to forthwith notify Axe of any breach of the aforesaid confidentiality, loss, misplacement, theft, misuse or abuse of the Id.


5.0 Right of Modification, Termination and Discontinuance

5.1 At all times, Axe shall have the absolute right to modify, discontinue or terminate the Service without notice to the User.

5.2 is expressly agreed and understood by the User that Axe shall not be liable to the User or to any third party for such modification, discontinuance or termination.


6.0 Right of Termination of Membership

6.1 If, in the sole opinion of Axe, the reasons where for Axe shall not be bound to disclose, the User has contravened, committed hacking or committed breach of any of the terms of this Agreement, Axe shall be entitled, without any notice, to terminate the user’s affiliation with the brand.

6.2 It is expressly agreed and understood by the User that any breach or default by the User of any of the provisions of this Agreement shall result in the immediate cancellation of his affiliation with the brand.

6.3 Axe and its employees shall at no time be in any way liable or responsible to the User or to any other person for any such cancellation of affiliation with the brand, provided that, Axe shall be entitled to all its rights and remedies against the User for any loss or damage or prejudice that may have been caused to Axe on account of any such breach or default by the User.


7.0 Indemnity by User

7.1 The User agrees and undertakes to indemnify and hereby indemnifies and keeps safe and harmless Axe from all loss, claim, demand, damage, costs, charges (including legal fees and charges) or prejudice that may be caused on account of the User's use of the Service offered by Axe at the site or on phone.

7.2 The User agrees and undertakes to indemnify and hereby indemnifies and keeps safe and harmless Axe from all loss, claim, demand, damage, costs, charges (including legal fees and charges) or prejudice that may be caused on account of the User's default or breach of any of the terms of this Agreement.

7.3 The Company urges responsible participation from all users. Hence the service must not be used with a malicious intent.


8.0 Eligibility Criteria For Contests.

8.1 The contest is valid only from 23rd August 2011 to 23rd September2011.

8.2 Every Contest hosted by Axe shall also be subject to any local, state, central, federal or community laws regarding the same applicable to every user.

8.3 No purchase of any product is necessary to participate in this contest.

8.4 In order to be eligible to win the prize, participants must participate in the game and complete it in the best possible time, Incomplete entries (without the mandatory particulars) will be automatically disqualified

8.6 The decision of Axe is final and no correspondence will be entertained.

8.7 Proof of submission of contest entries shall not constitute proof of receipt.

8.8 The organizers reserve the right to determine the delivery arrangements for all prizes.

8.9 Verification of identity is necessary for collection of prizes (i.e. Identity Card must be shown). All winners will be contacted by Axe via telephone to confirm their Age, Address & identity.

8.10 Acceptance of prizes constitutes permission to the organizer to use the winner's name, relevant details and/or photographs for purposes of publicity, advertising and/or trade without further compensation or notice.

8.11 Hindustan Unilever Limited reserves the right to use the names, photographs & other personal details of the participants in any publicity and/ or promotion it issues in conjunction with the Axe promotions.

8.12 All data given by the participant will be used in strict confidence by HUL & its other partners and these will not be passed to any other party.

8.13 Any participant who is suspected of any act of hacking would immediately be disqualified from any ongoing promotion or contest without any notice.

8.14 By participating in this contest, participants agree to be bound by the official rules and regulations of axe & its promoters.

8.15 Hindustan Unilever Limited is not responsible for the quality & delivery of service during any part of the programme.

8.16 The contest is valid only for Indian citizens above the age of 21, having a valid Indian passport.

8.17 By participating in this contest, the users are also verifying that they are Indian Citizens above the age of 21.

8.18 Any contest run by Hindustan Unilever Limited is limited to the geographic boundaries of India.

8.19 This is a internet based activity where the user will have to log on to www.theaxeeffect.co.in and play the game and submit the fastest possible time/ highest score – so as to be eligible for this contest.

8.20 Winners of the contest are picked randomly among all contestants, the decision of Axe/ HUL & its partners are binding on all the users and are non-negotiable.

8.21 The contest is open to all Indian residents except employees and the family members of Hindustan Unilever Ltd. (HUL), its associate companies, its advertising and promotional agencies and its auditor’s.

8.22 One individual (with one unique id is eligible) is eligible only for one prize.

8.23 The prizes are all of similar quality and there is no distinction between them.

8.24 HUL reserves the right to cancel, modify, extend or withdraw the offer at its sole and absolute discretion.

8.25 Local call charges at applicable rates shall apply and shall be borne by the user. HUL will not be liable in case of any network problems.

8.26 Decision of HUL and auditors will be final and binding with regard to promotion and prizes and no correspondence will be entertained in this regard.

8.27 Prizes are non-transferable and no cash payment in lieu of prizes will be made.

8.28 HUL shall not be liable for any complaints regarding the quality of the prizes. The manufacturers/ service providers will continue to be liable for the prizes, wherever applicable.

8.29 HUL shall not be responsible for any loss, injury or any other liability arising out of the offer/ contest.

8.30 HUL shall not be liable for any loss or damage due to act of God, governmental actions, other forcemajeure circumstances and shall not be liable to pay any amount as compensation or otherwise for any other such loss.

8.31 HUL shall not be liable for any loss of prize due to incorrect address or any other information provided by the winner.

8.32 In case of any dispute regarding the redemption of prizes the decision of HUL shall be binding on all parties concerned.


9.0 Disclaimer and Limitation of Liability - Subject to any local, State, Federal or other applicable statute -

9.1 All warranties of any kind whatsoever, whether express or implied, are hereby expressly disclaimed by Axe including, but not limited to, meeting of the Member's requirements or aspirations, timeliness, security, uninterruptedness, error-free, the results or reliability of the Contest, or the delivery, quality, quantity, merchantability, fitness for use or non infringement in respect of any goods, services, emoluments, benefits or awards acquired or obtained through the Service or any transactions effected through the Service.

9.2 The User expressly agrees that this use of the Service provided by Axe is at the member's sole risk and is governed by the terms of this Agreement.

9.3 No advice or information, whether by representations oral, written or pictorial derived from the Site/ Phone or through the Service shall be construed to mean the giving of any warranty of any kind by Axe.

9.4 At no time shall Axe be liable to the user or to any third party for the acts of omission or commission hosted by Axe on the Site/ phone or for any direct, indirect, incidental, consequential or foreseeable loss, damage, injury, harm, prejudice or costs that that may arise or be caused to the user by his use of the Service offered by Axe at the Site or by termination of membership as provided herein.


10.0 Winnings

10.1 Intimation that a user is a Winner of the Contest hosted by Axe will be sent by Axe by email, telephonically or winner’s details will be posted on the site or by the Contest Provider by such mode of delivery as the Contest Provider considers appropriate.

10.2 Where Axe is the Contest Provider its liability is limited to, and only to, assuring the delivery of the winning within a reasonable period of time to the winner and does not extend to any other warranty or assurance whatsoever with regards to the quality of winnings being delivered to the winner. 10.3 All winnings will be subject to local, state, federal and central taxes and duties.

10.4 All prizes are not transferable, non-refundable and non-exchangeable for cash or other products.

10.5 All winners will be declared after 23rd of September 2011.

10.6 One of the modes of communication of the winners will be - the winners will be declared on the website www.theaxeeffect.co.in post 23rd of September 2011.


11.0 Interpretation of this Agreement

11.1 The decision of Axe as to the interpretation of any Clause of this Agreement shall be final and binding on the user.


12.0 Arbitration

12.1 All disputes and differences between the parties hereto including as to the interpretation of any provision of this Agreement shall be referred to the Sole Arbitration of a person nominated by Axe and the provisions of the Arbitration and Conciliation Act, 1996 will apply to such arbitral proceedings.


13.0 Copyright

13.1 Unless otherwise specifically noted, the copyright in all images, text and material on the Site belongs to and vests in Axe.

13.2 Unauthorized reproduction of any text, image or other material without the prior written permission of Axe, in any form whether printed or electronic, is strictly prohibited and violations will be prosecuted to the full extent of the law.


14.0 Applicable Law and Jurisdiction

14.1 This Agreement shall be governed by and construed in accordance with the applicable laws in India.

14.2 All users into the site undertake to abide by all the laws of the land.

14.3 Hindustan Unilever Limited shall not be responsible for any damages and / or injuries to any persons either directly or indirectly arising out of use of the website and any of it's contents.

14.4 This Agreement shall be deemed to have been entered into Bombay (Mumbai), India and the courts in Bombay (Mumbai) alone will have exclusive jurisdiction to entertain any proceedings in any way relating to or concerning this Agreement or any rights, duties, obligations or liabilities arising there under to the exclusion of all other courts in India.
